Southampton Scrapstore Constitution

This is our current Constitution.

We are currently reviewing our Constitution as part of the process of changing to a CIO Charitable Incorporated Organisation.

CONSTITUTION FOR THE SOUTHAMPTON SCRAP STORE

 

  1. NAME  The name of the organisation shall be the Southampton Scrap Store.
  1. OBJECTS

The objects of the Southampton Scrap Store shall be:-

(i)to provide, or assist in the provision of resources, materials and
equipment for recreation, education, social development and leisure time activities for children and other members of the community; being facilities:-

  1. of which such children and other members of the community have need by reason of their age, social or economic circumstances
  2. which will improve conditions of life for such children and other members of the community by promoting their educational, physical or mental wellbeing.

(ii) to promote the use of safe / suitable waste materials for the benefit of children and other members of the community.

The area of benefit shall be Southampton and adjacent authorities.

  1. POWERS In furtherance of the objects of the Southampton Scrap Store, and without 

prejudice to the generalities thereof,the Southampton Scrap Store shall have the power to:-
(a) Promote the benefit of children and other members of the community In the area of benefit, by providing resources, including materials, equipment, advice, training, information and specialist skills, in the interests of the social welfare and recreation of the said people.

(b) Provide, maintain and equip such facilities for recreational activities

for children and other members of the community in the area of benefit, as the Southampton Scrap Store shall think fit.
(c) Affiliate to any other organisation having similar objects to those of the Southampton Scrap Store.

(d) Employ staff and make other such payments for services provided on behalf of the Southampton Scrap Store as the Southampton Store shall deem necessary.

(e) Purchase, hire, lease or otherwise receive any real or personal property for the furtherance of the objects of the Southampton ScrapStore.
(f) Obtain, collect and receive money, funds, securities and other sources of income or capital by way of contributions, donations, grants, legacies or other lawful methods, for the furtherance of the Southampton Scrap Store.
(g) Do all other such lawful things as are necessary for the attainment of said objects.

 

4.MEMBERSHIP

  1. Membership of the Southampton Scrap Store shall be open to any group providing care, educational, social or play facilities within the area of benefit.
  2. All members shall pay such subscriptions as the Annual General Meeting (AGM) shall from time to time decide.
  3. Membership shall be subject to the approval of the Management Committee of the Southampton Scrap Store.
  4. Each member group shall be entitled to one vote.
  5. Any other group, meeting the criteria in Clause 4 (a), may use the facilities of the Southampton Scrap Store on payment of an annual users fee, but shall not be entitled to vote.

Honorary individual members may be elected at an AGM in recognition of their outstanding service to the Southampton Scrap Store.

5. MANAGEMENT COMMITTEE 

(a) At the AGM, the members of the Southampton Scrap Store shall elect a Management Committee and other such persons as the members see fit.

(b) The Management Committee shall consist of up to fourteen (14) persons and not less than five.

(c) The Management Committee shall be elected from representatives of

paid up member groups and honorary members.

(d) The Management Committee may co-opt up to 3 further members on to the Committee, provided that the number of co-opted members shall never exceed one third of the total number of that Committee.

(e) All members of the Management Committee shall retire annually, but shall be eligible for re-election.

(f) The Management Committee shall elect, from within its members, honorary officers to serve the Southampton Scrap Store. These shall be the Chairperson, Vice-Chairperson, Secretary and Treasurer. Staff employed by Southampton Scrap Store shall not be eligible to be elected as officers.

(g)The Management Committee shall meet not less than six (6) times a year.

(h) Representatives of Local Authorities may attend meetings by invitation but shall not have voting rights.

(i) The Committee shall have the power to appoint such Sub-Committees as it may decide and may determine their powers and terms of reference.

(j) The Management Committee has the power to engage any professional assistance.

  1. MEETINGS

(a) The Management Committee shall convene an AGM of the Southampton Scrap Store once in each year, and not more than fourteen months after the previous AGM; which all members shall be entitled to attend for the purpose of receiving the annual report and accounts of the previous year, to elect a Management Committee, to appoint Auditors, to make recommendations to the Management Committee, to vote on any proposed amendments to the Constitution, and to deal with any other business which the members or the Management Committee shall raise.

(b) An Extraordinary General Meeting may be convened by the Management Committee, at their discretion, or upon a written request, signed by not less than fifteen members.

7.NOTICE OF MEETINGS

(a) The Secretary will be responsible for ensuring that members are notified in writing of any meeting they are entitled to attend; and that they are provided with an agenda, together with minutes of the previous meeting.

(b) The minimum notice for meetings shall be:-
AGM                                   Twenty Eight Days
Extraordinary General Meetings        Fourteen Days
Committee Meetings                    Seven Days
8.VOTING

 

(a) Subject to the provisions of Clauses 12 and 13, all questions arising

at any Committee meeting shall be decided by a simple majority of those present and entitled to vote.
(b) In cases of equal votes being cast, the Chairperson shall have the casting vote.
(c) Each member group shall nominate one person to represent them, and to cast a vote on their behalf.
9.QUORUM
(a) The quorum for General Meetings shall be one third of the total membership of the Southampton Scrap Store or fifteen representatives whichever is the less.
(b) The quorum for Management Committee Meetings shall be 4.
10.STANDING ORDERS
The Management Committee shall have the power to adopt and issue standing orders. Such orders shall come into effect immediately, always providing that they shall be subject to review by members at a General Meeting, and shall not be inconsistent with the provisions of this Constitution.

  1. FINANCE
  2. (a) All monies raised for, or on behalf of the Southampton Scrap Store

shall be applied to further the objects of the Southampton Scrap Store

and for no other purpose.
(b) The Treasurer shall keep proper accounts of the finances of the Southampton Scrap Store and shall prepare annual accounts for each financial year, running from 1 April to 31 March.
(c)The accounts shall be audited at least once a year by a qualified Auditor or Auditors, who will be appointed by the AGM.

(d)An audited statement of account shall be submitted to the members at the AGM.
(e)A bank/building society account shall be opened by the Management Committee, in the name of the Southampton Scrap Store at whichever institution the Committee so decides.
(f) The Management Committee shall authorise, in writing, four members of the Committee to sign cheques on behalf of the Southampton Scrap Store. All cheques must be signed by not less than two of the four authorised signatories, one of those two being the Treasurer.
(g) The Management Committee shall be able to invest the monies of the Southampton Scrap Store not immediately required for the said objects in a secure savings account.

  1. INDEMNIFICATION 

The Southampton Scrap Store shall indemnify, and keep indemnified, all honorary officers, members and servants of the Southampton Scrap Store from and against all claims, demands and proceedings (and all costs and expenses connected therewith or arising thereout) made and brought against the Southampton Scrap Store or him or her either alone or jointly with the Southampton Scrap Store or otherwise arising out of or in connection with the activities of the Southampton Scrap Store.
13.TRUSTEES

 

The title of all and any real property which may be acquired by or for the purposes of the Southampton Scrap Store shall be vested in Trustees who shall be appointed by the Committee and who shall enter into a Deed of Trust setting forth the purposes in Trust for the Southampton Scrap Store. The number of Trustees shall not less than three (3) or more than five (5).
14.DISSOLUTION

 

(a) If the Management Committee should decide, by a simple majority, at any one time, that, on grounds of expense or otherwise, it is necessary or advisable to dissolve the Southampton Scrap Store it shall call a meeting of all the members of the Southampton Scrap Store who have power to vote, for which meeting not less than fourteen days notice shall be posted to the last known address of each member, and given in writing to the Charity Commissioners.
(b) If such a decision shall be confirmed with a two thirds majority of those present and eligible to vote at such meeting, the Management Committee shall have the power to dispose of any assets held by, or in the name of the Southampton Scrap Store.

(c) Any assets remaining after the satisfaction of any proper debts and liabilities shall be given or transferred to such other charitable institutions having objects similar to the objects of the Southampton Scrap Store as the Management Committee may determine.
15.ALTERATIONS TO THE CONSTITUTION

 

(a) Any alteration of this Constitution requires the assent of no less than two thirds of the members of the Southampton Scrap Store present and eligible to vote, at the AGM providing that notice of the alteration shall have been received by the Management Committee, in writing, not less than twenty eight days before the meeting at which the alteration is to be brought forward.
(b)No alteration to Clause 2 shall be made without the assent of the Charity Commissioners, and no amendment or addition or deletion may be made the effect of which would cause the Southampton Scrap Store at any time to cease to be a charity in law.
This Constitution was adopted by the Annual General Meeting of the Southampton Scrap Store.
